Guy Troupe, and “Event Administrator” agree to work together to execute an experience during the Annual Player Networking Event™ (PNE) Super Bowl weekend—a property owned exclusively by Troupe.
PNE Description. The PNE was established to bring together active and retired NFL players and business leaders in an environment that is conducive to the establishment and development of mutually beneficial business relationships.
Duties/Responsibilities. PNE will provide the necessary space for Event Administrator. Event Administrator will be responsible for executing all aspects of the agreed upon event.
Indemnity. Event Administrator agrees to protect and keep Troupe and PNE forever harmless from any damage or charges imposed for any violation of any law or ordinance whether occasioned by the negligence of the exhibitor or those holding under the exhibitor, as well as to strictly comply with the applicable terms and conditions contained in this Agreement; and further the Consultant shall at all times protect, indemnify and keep Troupe and PNE harmless against and for costs, damages, liability, or expense arising from or out of any accident or other occurrence to anyone, including the Consultant, its agents, employees and business invitees.
Confidentiality. In the absence of prior approval, the parties agree to maintain in confidence the terms of this Agreement and the benefits provided pursuant hereto. Additionally, Consultant agrees that it will not disclose any business or proprietary information of PNE and its related entities in connection with this sponsorship.
Integration Clause. This Agreement hereto contains the entire Agreement of the parties with respect to the subject matter of this Agreement, and supersedes all prior negotiations, Agreements and understandings with respect thereto. This Agreement may only be amended by a written document duly executed by both parties.
